Terms of Service

1. Acceptance of Terms

By accessing or using the Sopkom website (sopkom.com), including signing up for our waitlist or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not access or use our Services.

These Terms constitute a legally binding agreement between you and Sopkom Technologies Pvt Ltd ("Sopkom", "we", "us", or "our"), a company incorporated under the Companies Act, 2013 in India.

2. Definitions

  • "Platform" means the Sopkom website, applications, APIs, and all related services.
  • "User" means any person or entity that accesses or uses the Platform.
  • "Retailer" means a registered business entity that uses the Platform to source wholesale products.
  • "Supplier / Brand" means a verified brand or distributor that offers products through the Platform.
  • "Content" means any text, images, data, or other materials on the Platform.

3. About Sopkom

Sopkom is an AI-powered B2B wholesale marketplace designed for retail businesses operating in India. The Platform connects verified retailers with trusted brands, providing demand forecasting tools, flexible credit solutions, and end-to-end logistics management.

The Platform is currently in a pre-launch phase. Access is provided on a waitlist basis and is subject to eligibility verification at Sopkom's sole discretion.

4. Eligibility

To use the Sopkom Platform, you must:

  • Be at least 18 years of age.
  • Represent a duly registered business entity under Indian law (e.g., Proprietorship, Partnership, LLP, Private Limited Company).
  • Have a valid GSTIN (Goods and Services Tax Identification Number) where applicable.
  • Have the legal authority to enter into these Terms on behalf of the business entity you represent.

Individual consumers are not eligible to use the Sopkom Platform. Sopkom reserves the right to verify eligibility at any stage and to suspend or terminate access if eligibility requirements are not met.

5. Waitlist Programme

By submitting your email address on our website, you are registering your interest in accessing the Sopkom platform ("Waitlist"). Joining the Waitlist does not guarantee access to the Platform or any specific features. Sopkom may grant or deny access at its sole discretion based on availability, geographic region, and business verification.

You agree to receive email communications from Sopkom related to your waitlist status and platform updates. You may unsubscribe from marketing communications at any time using the unsubscribe link in any email.

6. Platform Services

Upon receiving access, the Sopkom Platform may provide the following services:

  • AI Demand Forecasting: Predictive analytics tools to help retailers plan inventory based on local demand patterns.
  • Wholesale Sourcing: Access to a curated catalogue of verified brands and distributors offering products at wholesale prices.
  • Smart Credit: Flexible 30–60 day credit facilities subject to eligibility assessment and approval.
  • Logistics Management: End-to-end shipment tracking and fulfilment coordination.

The availability, features, and pricing of these services may change at any time. Sopkom will endeavour to provide reasonable notice of material changes.

7. Acceptable Use

You agree not to use the Platform to:

  • Violate any applicable local, state, national, or international law or regulation.
  • Misrepresent your identity, business registration, or eligibility.
  • Submit false, misleading, or fraudulent information.
  • Attempt to gain unauthorised access to any part of the Platform or its related systems.
  • Engage in any activity that disrupts, damages, or impairs the functionality of the Platform.
  • Scrape, crawl, or use automated tools to extract data from the Platform without prior written consent.
  • Resell, redistribute, or sublicense access to the Platform without authorisation.

Sopkom reserves the right to investigate suspected violations and to suspend or terminate accounts found in breach of these Terms.

8. Intellectual Property Rights

All content on the Sopkom Platform — including but not limited to text, graphics, logos, icons, images, software, and AI models — is the exclusive property of Sopkom Technologies Pvt Ltd or its licensors and is protected under applicable intellectual property laws of India.

You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform solely for your internal business purposes. You may not copy, reproduce, modify, distribute, or create derivative works from any Platform content without our prior written consent.

9. Disclaimer of Warranties

The Platform and all Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Sopkom does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. AI-generated forecasts and recommendations are provided for informational purposes only and do not constitute business, financial, or legal advice.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Sopkom Technologies Pvt Ltd and its directors, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform, including but not limited to loss of profits, loss of data, or loss of goodwill.

Sopkom's total aggregate liability to you for any claims arising under or related to these Terms shall not exceed the total fees paid by you to Sopkom in the twelve (12) months preceding the event giving rise to the claim, or ₹10,000, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless Sopkom Technologies Pvt Ltd, its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any third-party rights.

12. Termination

Sopkom reserves the right to suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including breach of these Terms. Upon termination, all licences granted to you will immediately cease. Sections relating to intellectual property, disclaimers, limitation of liability, and governing law shall survive termination.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts located in India.

14. Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the parties shall first attempt to resolve the matter amicably through good-faith negotiations for a period of thirty (30) days from written notice of the dispute. If the dispute cannot be resolved through negotiation, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.

16. Changes to These Terms

Sopkom reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date above and, where appropriate, by sending an email notification to registered users. Your continued use of the Platform following any changes constitutes your acceptance of the revised Terms.
